Board of Directors
The Board of Directors [which, with the New York Conference Minister or his or her assigns, is the administrative arm of the Association] shall have such powers and duties as are customary to a Board of Directors under the laws of the State of New York, and as provided in these By-Laws. The board is responsible for the oversight of the Association. It must ensure that all the necessary policies and processes are in place to achieve the objectives of the Association. The Board, in consultation with the Standing committees, will implement policies to assist the standing committees in carrying out all the various activities of the Association and shall implement internal controls to insure the orderly working of the Association. The Board shall have custody and control of all the temporalities and property, real and personal, belonging to the Association and of the revenues therefrom and shall administer the same...
In exercising and discharging its powers and duties, the Board shall oversee the Association as provided above and review and approve the adequacy of the policies and procedures of the Association and its Standing Committees to achieve the objectives of the Association and its Standing Committees as set forth herein.
